Terms & Conditions

Last updated: 29/09/2026

These Terms & Conditions explain the rules for using koatagency.com and purchasing services from KOAT Agency.

1. About KOAT Agency

KOAT Agency is the trading name of [full registered business name], registered in [country], with registration number [registration number].

Business address: [registered business address]
Email: [business email address]
Website: https://koatagency.com

In these terms, “we”, “us”, and “our” refer to KOAT Agency. “You” and “your” refer to the website visitor or client.

2. Our services and your agreement

We provide services including branding, graphic design, website development, social media management, content creation, search engine optimisation, paid advertising, marketing strategy, and automation.

The services, deliverables, fees, and schedule for your project are set out in a written proposal, quotation, or service agreement.

These terms apply to services where they are provided to you and incorporated into your agreement before acceptance. If a signed service agreement conflicts with these terms, that agreement takes priority for the relevant services.

Submitting an enquiry or booking an introductory call does not commit either party to a paid project.

3. Scope of work and changes

Our fees cover the work expressly included in the agreed scope.

Additional pages, campaigns, concepts, integrations, revisions, or other requests outside that scope may affect the price and delivery schedule. We will obtain your approval for additional charges before carrying out the extra work.

Unless expressly included, our fees do not cover advertising spend, hosting, domains, printing, stock assets, paid software, or third-party subscriptions.

4. Your responsibilities

You agree to provide the information, materials, access, feedback, and approvals reasonably needed to complete the work.

You are responsible for:

  • Providing accurate business and product information.

  • Ensuring you have permission to use materials and personal data supplied to us.

  • Reviewing deliverables for factual accuracy before approving publication.

  • Complying with laws and platform rules applicable to your business.

  • Keeping your account credentials secure.

If required materials or approvals are delayed, we may need to revise the delivery schedule. Any resulting additional costs require your approval.

5. Fees and payment

The applicable currency, taxes, deposit, payment milestones, and due dates will be stated in your quotation or agreement.

Where an advance payment is required, work will begin after we receive that payment and the necessary project materials.

If an invoice becomes overdue, we may suspend affected services after written notice and a reasonable opportunity to pay. Any interest or collection charges must be permitted by applicable law and your agreement.

Please notify us promptly if you believe an invoice is incorrect so we can investigate.

6. Timelines, feedback, and revisions

Delivery dates are estimates unless expressly agreed as binding deadlines.

The number of concepts and revision rounds included in your project will be stated in the proposal. A new creative direction or substantial change to an approved brief may require a revised quotation.

You must approve content, designs, advertising budgets, and other materials where approval is required by the agreed workflow. Silence does not constitute approval unless a separate written agreement expressly establishes an approval process.

7. Marketing performance

We will perform our services with reasonable care and skill.

Marketing results depend on factors including your offer, pricing, audience, competition, budget, sales process, and third-party platforms. Unless expressly agreed in writing, we do not guarantee specific rankings, leads, sales, revenue, or return on advertising spend.

Examples, forecasts, and case studies illustrate potential or past performance and do not guarantee future results.

8. Third-party platforms

Our services may involve third-party advertising platforms, hosting providers, software, plugins, and other external services.

Those services are subject to their own terms, fees, and availability. We cannot guarantee uninterrupted access or prevent changes to their features, algorithms, policies, or pricing.

Where a third-party issue affects your project, we will explain its impact and discuss reasonable next steps. This does not exclude our responsibility for our own errors or breaches of the agreement.

9. Intellectual property

You retain ownership of materials you provide to us. You grant us permission to use those materials as necessary to perform the agreed services.

After full payment, we assign to you, to the extent legally transferable, our rights in the final bespoke deliverables identified in your agreement. Any required assignment formalities will be completed separately.

We retain ownership of our pre-existing tools, templates, methods, reusable code, and know-how. Where these are incorporated into a final deliverable, you receive a non-exclusive licence to use them as necessary to use that deliverable for its agreed purpose.

Third-party assets remain subject to their respective licences. Editable source files, unused concepts, raw footage, and working files are included only where expressly stated in your agreement.

10. Confidentiality and portfolio use

Both parties will protect confidential information received during the engagement and use it only for the agreed work, except where disclosure is legally required.

We will obtain your written permission before publishing your project, business name, logo, testimonial, or results in our portfolio or promotional materials.

11. Personal data

Our Privacy Policy explains how we handle personal data for our own business activities.

Where we process personal data on your behalf, the parties will enter into a separate data processing agreement where required. That agreement will address instructions, security, confidentiality, subprocessors, and the return or deletion of data.

12. Cancellation and termination

Project cancellation terms, recurring service periods, renewal arrangements, and notice requirements will be stated in your agreement.

If you cancel a project, you must pay for work properly completed and approved, non-cancellable third-party commitments incurred before cancellation. Any prepaid amount exceeding those charges will be refunded.

Either party may terminate for a material breach that remains unresolved for 14 days after written notice, unless a different period is required by law or agreed in writing. Immediate suspension or termination may be appropriate where continuing the work would be unlawful.

On termination, we will cooperate with a reasonable handover of paid-for deliverables and client-owned accounts. Additional migration or transition work may be quoted separately.

13. Liability

Each party is responsible for losses caused by its breach of the agreement, subject to applicable law.

Any agreed financial limit on liability must be stated in the applicable service agreement.

Nothing in these terms excludes liability for fraud, deliberate misconduct, or any liability that cannot legally be excluded or limited. Nothing removes mandatory consumer rights.

14. Website use

You must not misuse this website, attempt unauthorised access, introduce malicious software, or interfere with its operation.

Website content is provided for general information and may be updated. You may not reproduce our protected content for commercial use without permission, except where permitted by law.

Links to third-party websites do not imply that we control or endorse their content.

15. Events outside our reasonable control

If an event outside a party’s reasonable control prevents performance, that party must notify the other promptly and take reasonable steps to reduce the disruption.

The parties will discuss revised timelines or termination where the disruption continues. Payment remains due for services already properly performed.

16. Governing law and disputes

These terms and the relevant service agreement are governed by the laws of [country or jurisdiction].

Please contact us first so we can attempt to resolve any concern. If no resolution is reached, disputes will be submitted to [competent courts and location], subject to mandatory rights to bring proceedings elsewhere.

17. Changes to these terms

We may update these terms and will display the revised date on this page.

Changes do not automatically alter an existing service agreement. Any changes to an ongoing engagement will follow the variation process agreed with that client.
