Intellectual Property Policy

Purpose:

This policy defines ownership rights and usage permissions for creative assets developed by Koat Agency for clients. It ensures clarity, protects both parties, and fosters productive collaboration.

Ownership:

  • Client-commissioned work: The client owns all intellectual property (IP) rights to creative assets explicitly commissioned and paid for, including logos, designs, websites, marketing materials, etc.

  • Pre-existing work: Koat Agency retains ownership of IP rights for pre-existing assets, such as stock photos, templates, or software used in the project. Clients acquire a limited usage license for these assets based on the specific project scope.

  • Work-for-hire: In rare cases, where explicitly agreed upon in writing, Koat Agency can act as a "work-for-hire" and assign ownership of copyright to the client for specific deliverables.

Usage Permissions:

  • Client-owned IP: Clients have the right to use their commissioned assets for their intended purpose and promotional activities. Unauthorized modifications or redistribution are prohibited.

  • Koat Agency's pre-existing work: Clients only have the right to use these assets within the specific project scope. Modification or use outside the agreed-upon context requires separate licensing agreements.

  • Trademarks and service marks: Client logos and trademarks remain their exclusive property. Koat Agency retains ownership of its logos and trademarks.

Exceptions and Special Cases:

  • Collaborative projects: For joint ventures or co-created intellectual property, ownership and usage rights will be explicitly defined in a separate agreement.

  • Open-source contributions: Koat Agency may use open-source components in projects, subject to their respective licensing terms.

  • Third-party content: Usage of third-party content requires obtaining separate licenses and ensuring compliance with their terms.

Responsibilities:

  • Koat Agency: We will clearly communicate ownership rights and usage permissions before project commencement. We will respect client ownership, maintain accurate records, and provide access to source files upon request.

  • Client: The client is responsible for understanding and adhering to these terms. They must obtain necessary licenses for third-party content and notify Koat Agency of any potential IP conflicts.

Dispute Resolution:

Koat Agency strives to collaborate effectively and avoid disputes. However, if any disagreements arise, they will be resolved amicably through negotiation or, if necessary, through legal channels.
